MotionInfo Hosting Agreement

Purpose


MotionInfo agrees to facilitate installation, operate, and maintain a StationKeeper monitoring unit at the Host’s property to support marine safety, conservation, and/or infrastructure protection initiatives.

Equipment and Ownership

  • All StationKeeper hardware, software, and related accessories are owned solely by MotionInfo.
  • Host agrees not to move, tamper with, open, or modify the equipment in any way.
  • Upon termination of this agreement, MotionInfo will remove the equipment at no cost to the Host.

Host Responsibilities

The Host agrees to:

  • Provide a secure, physically accessible location for equipment installation.
  • Supply reliable AC power and internet access (wired or wireless) as specified by MotionInfo.
  • Notify MotionInfo of any changes that could affect uptime (e.g., construction, power outages, network changes).
  • Not interfere with signal transmissions (AIS, Wi-Fi, or other channels used by the device).

MotionInfo Responsibilities

MotionInfo agrees to:

  • Facilitate installation, maintenance, and equipment upgrades at its expense.
  • Monitor uptime remotely and dispatch technicians as needed.
  • Respond to equipment failures or host inquiries within 3 business days.

Data Rights

  • All data collected or transmitted by the StationKeeper unit is the property of MotionInfo.
  • Host may request access to summary data or analytics for non-commercial use, at MotionInfo’s discretion.
  • MotionInfo reserves the right to share, sell, or use collected data in compliance with applicable laws.

Term and Termination

  • This Agreement is effective on the date above and will remain in effect for an initial term of 3 year(s).
  • Either party may terminate the agreement with 30 days’ written notice.
  • Upon termination, equipment will be removed within [30] days unless otherwise agreed.

Indemnification

Host shall not be held liable for normal hardware failure or environmental wear. MotionInfo assumes full liability for equipment operation, except in cases of gross negligence or intentional damage by the Host.

Insurance and Risk

  • MotionInfo maintains general liability insurance covering equipment failure or harm caused by StationKeeper units.
  • Host is not responsible for insuring MotionInfo’s hardware.

Hold Harmless

To the fullest extent permitted by law Maritime Information Systems / MotionInfo known as Grantee shall indemnify, defend, and hold harmless the hosting location and/or payor known as Host, its elected officials, officers, employees, agents, consultants, and employees, from and against claims, damages, losses and expenses, including but not limited to attorney fees, arising out of or resulting from performance of the Project, provided that such claim, damage, loss or expense is attributable to bodily injury, sickness, disease or death, to injury to or destruction of tangible or intangible property, but only to the extent caused by the negligent, wrongful, or intentional acts or omissions of the Grantee, a subcontractor of Grantee, anyone directly or indirectly employed by them or anyone for whose acts they may be liable, regardless of whether or not such claim, damage, loss or expense is caused in part by the negligence of a party indemnified hereunder. In the event the claim, damage, loss or expense is caused in part by the negligence of a party indemnified hereunder, the indemnification by the Grantee shall be prorated based on the extent of the liability of the party indemnified hereunder. Such obligation shall not be construed to negate, abridge, or reduce obligations of indemnity which would otherwise exist as to a party or person described in this Paragraph.

Confidentiality

Both parties agree to maintain the confidentiality of technical, operational, or site-specific information shared under this agreement, except as required by law.

General Provisions

  • This Agreement is governed by the laws of the State of Massachusetts.
  • This document constitutes the entire agreement between the parties.
  • Any amendments must be made in writing and signed by both parties.
